When and how was the company founded?

The Company was established pursuant to Presidential Decree No. 259 of 1965, in accordance with the laws in force in the Arab Republic of Egypt. It is subject to the provisions of the Joint-Stock Companies Law No. 159 of 1981 (as amended by Law No. 3 of 1998) and its executive regulations, as well as the provisions of Law No. 95 of 1992 (Capital Market Law) and its executive regulations. The Company was registered in the Commercial Register (Cairo) under No. 181572 on March 29, 1977.

The Company was listed on the official lists of the Cairo and Alexandria Stock Exchanges on December 7, 1997.

In implementation of the government’s program to broaden the ownership base, the sale of a majority stake in the Company via a public offering on the stock exchange was announced. On May 30, 1998, the sale of 70.67% of the Company’s shares was executed; consequently, the Company ceased to be subject to the provisions of the Public Business Sector Law No. 203 of 1991 and its executive regulations, as the public sector’s shareholding fell below 51%.

Accordingly, an Extraordinary General Assembly meeting was convened on June 30, 1998, to approve amendments to the Company’s Articles of Association to ensure compliance with the provisions of the Joint-Stock Companies Law No. 159 of 1981 (as amended by Law No. 3 of 1998) and its executive regulations.
